Welcome to the Sydney's Wholesale (sydneyswholesale.com) Website (the "Site"). The site is owned and operated by Next Century Productions, Inc. (“Next Century”). Next Century provides this Site as a service to its wholesale customers.

Please review our basic rules that govern your use of our Site (the "Agreement") before you use this site and before you purchase.

IN GENERAL:

Please note that your use of the “Site” constitutes your agreement to follow and be bound by these terms. If you do not agree to these terms, please do not use this Site. Although you may "bookmark" a particular portion of this Site and thereby bypass this Agreement, your use of this Site still finds you to these terms.

Next Century reserves the right, in its sole discretion, to change, modify, update or otherwise alter these terms and conditions at any time. Such changes or modifications shall become effective immediately upon the posting thereof. Your use of our Site following any such changes or modifications constitutes your agreement to follow and be bound by the revised terms and conditions. Since Next Century may revise this Agreement at any time, we encourage you to please review the terms and conditions every time you use this site.

ACCEPTABLE USES

You may use this site for legitimate shopping purposes only. You may not harm the Site in any way or otherwise use the Site in any improper manner, including, but not limited to hacking into the Site's systems, spoofing or faking e-mail headers or slowing or stopping the functionality of the Site.

In the event you register and/or purchase product, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the registration form. If you provide any information that is untrue, inaccurate, not current or incomplete, or Next Century suspects, for any reason, that such information is untrue, inaccurate, not current or incomplete, Next Century, in its sole discretion, has the right to not fulfill your order or suspend or terminate your account and refuse any and all current or future use of the site.

If you choose to create a password and account designation upon completing the registration process, you are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Next Century of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Next Century will not be liable for any loss or damage arising from your failure to comply with this paragraph.

SITE CONTENTS

Next Century attempts to provide the most recent, accurate, and reliable information on the Site. However, there may be occasions when information on the Site contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, and availability or when an item featured on the Site is no longer in stock or available.

Next Century does not warrant that the information accessible via this web site is accurate, complete or current. Any errors are unintentional and we apologize if erroneous information is reflected in merchandise price or item availability, or in any way affects your individual order.

Next Century reserves the right to correct any errors, inaccuracies or omissions and to change, move, delete or update portions of, or add to, product information and content at any time without prior notice (including after you have submitted your order).

Next Century has made every effort to display accurately the products featured on the Site. However, the colors we use and the capabilities of your computer monitor will affect the colors you see on your screen. Next Century cannot guarantee that your monitor’s display of any color, texture, or merchandise details will be accurate.

PRODUCT INFORMATION, DISPLAY AND AVAILABILITY

Next Century is not responsible for errors made in selecting a dress size and cannot guarantee a dress will fit. It is the sole responsibility of the shopper to use a tape measure to take her measurements properly and then select the size that best fits her based on the size chart for the particular item purchased. Next Century reserves the right to change sizes available and the size charts at any time.

SITE CHANGES

In order to keep the Site current with our current collections, Next Century frequently changes the merchandise offered. This means that we cannot guarantee that an item displayed on a previous visit to the Site will still be available when you visit again.

We reserve the right to make changes to the Site without prior notice. Should you be unable to locate an item you saw on a previous visit, please contact us and we will make every effort to meet your needs. Prices displayed on the Site are quoted in U.S. dollars and British Pounds. 

RISK OF LOSS

Risk of loss or transfer of title to the Buyer or customer occurs when Next Century delivers the merchandise ordered to a common carrier in good condition for shipment to the customer.

LINKS TO OTHER WEBSITES AND SERVICES

The Site may include links to other Internet sites maintained by third parties ("Linked Sites"). Access to Linked Sites are provided to you solely as a convenience, and the inclusion of site links does not imply endorsement by Next Century. Your access of any Linked Sites is at your own risk and by accessing them you may leave the Site. Linked sites are not under the control of Next Century and the Site and Next Century and the Site are not responsible for the contents of any Linked Sites

ANONYMOUS INFORMATION

In addition, we collect non-identifiable information such as your IP address and entry point information in the aggregate. This helps us design and enhance your shopping experience and to help diagnose problems with our server and to administer our Web site. We only use such information on an aggregate level and do not track information about individuals.

OTHER

If any of these terms of use is unlawful, void, or for any reason unenforceable, then that term shall be deemed severable from the other terms and shall not affect the validity and enforceability of any remaining terms.

These terms of use constitute the entire agreement between Next Century, the Site and you relating to the subject matter herein. Next Century shall have the right to change or modify these terms of use at any time.

ORDERING 
Seller requires Retailer (“Buyer”) to place a minimum stock each year in order to be an Authorized Retailer open to place special orders. New Buyers who want to establish an account with Sydney’s Closet (“Seller”) must submit a signed copy of this Agreement plus a copy of their Sales Tax Certificate before any orders ship. All orders submitted by Buyer are subject to Seller’s approval. No alterations to these terms accepted. Seller reserves the right at any time in its sole discretion to stop selling merchandise to any Buyer.

PAYMENT
Seller accepts Visa, MasterCard, American Express; PayPal, Money Orders or wire transfer. C.O.D. and terms reserved strictly for highly-qualified Buyers as determined by Seller in its sole discretion.

Buyers pay C.O.D. fees.

Delinquent accounts may be charged 1.5% of their past due balance per month in addition to the past due balance and all collection fees (if applicable).

All returned checks will be charged a $35.00 fee. 

SHIPMENT
By placing this order, Buyer agrees to accept delivery of this merchandise as available. Seller ships all stock orders "as ready" UPS Ground and not necessarily in one shipment. Shipping dates are desired and not promised and are subject to change without notice. Seller cannot be held liable for damages for delays or failures in delivery of all or part of merchandise ordered due to causes, contingencies or circumstances beyond its control that prevent or hinder the manufacture or delivery of merchandise including, but not limited, to Acts of God. Buyer is responsible for all taxes, freight, handling, insurance, customs, duties and risk of loss from and after delivery of goods into hands of a carrier. Refused orders may jeopardize your entire account at our discretion. Completion date indicates final day on which Seller can ship merchandise. Drop ship fee is $15.00 per Domestic order.

RETURNS
All sales are final and are not returnable except for damaged merchandise which will be promptly replaced wherever possible or Buyer will be issued a refund or store credit. Seller shall not be held liable for any discoloration or variation of fabrics due to natural textures. Buyer must make all claims within five business (5) days of receipt of items, no exceptions. All items require a Return Authorization (RA) which must appear on outside of the box. RA valid only for 10 days from the date issued and then is considered null and void. Packages without an RA or an expired RA will be refused. All returns subject to Seller’s inspection and approval before Buyer is issued any exchange, refund or credit. Worn, faded, torn, dirty merchandise and items without labels, tags, and accessories will be returned to Buyer.

RETAIL RESTRICTIONS/TRANSHIPPING: Buyer is prohibited from selling Seller's merchandise as follows: transshipping, renting merchandise, mobile showrooms, facilities not licensed for retail, auctions (on or off-line) and social media platforms. PRICING: Buyer agrees to sell in their store(s) and on the Internet Seller’s merchandise for not less than Manufacturer’s Minimum Suggested Price (MMSP) on the current Price List. Seller will strictly enforce this policy for all Collections. MMSP must be used any time prices are published online or offline. Seller authorizes only discontinued styles to be sold at less than MMSP. Seller reserves right to give notice at any time about price or any other changes.

MEDIA USE: All photographs, logos, images and videos ("Media") remain Seller’s exclusive property. Only Authorized Retailers may use Seller’s copyrighted images, trademarked materials. Any unlawful use may result in closing an account and legal action. Buyer agrees to associate Sydney’s Closet brand name with images placed on Buyer's website, social networking sites, for promotional purposes and in store. Seller grants Buyer permission to display “Authorized Retailer “of Sydney’s Closet.

INTERNET MARKETING & SALES: Seller may allow certain images to be used for Internet sales as long as the prices meet the MMSP or greater, as noted on Seller's current Price List. Buyer is prohibited from selling Tease Prom and Michelle Bridal on the Internet. Seller reserves the right to sell Tease Prom discontinued styles online.

JURISDICTION: This Agreement shall be governed by the laws of the State of Missouri, and all lawsuits filed by either Party against the other concerning this Agreement shall be filed in the civil courts of St. Louis County, Missouri USA or the U.S. District Court for the Eastern District of Missouri.

I acknowledge that I understand, accept and agree with the terms of this agreement, and I agree to receive emails from Sydney's Closet with information and offers.
